Terms of Service
These terms govern the services provided by Spectra Digital. By engaging our services, you agree to the following terms.

1. Scope of Services
All services provided by Spectra Digital are custom-quoted and scoped on a per-project basis. The specific deliverables, timeline, and pricing for each engagement will be outlined in a written proposal or statement of work agreed upon by both parties before work begins.
2. Payment Terms
Payment terms vary based on the type of engagement:
- Project work (websites, branding, etc.) — A 50% deposit is required before work begins. The remaining 50% is due upon project completion, prior to launch.
- Ongoing services (SEO, social media, PPC, etc.) — Billed on a month-to-month basis. No long-term contracts are required. Either party may cancel with 30 days' written notice.
3. Intellectual Property
Upon full payment, the client owns all custom deliverables created during the engagement, including website designs, graphics, copy, and other project-specific assets. Spectra Digital retains the right to showcase completed work in our portfolio unless otherwise agreed in writing. Third-party tools, fonts, stock assets, and open-source software used in deliverables remain subject to their respective licenses.
4. Client Responsibilities
Clients are responsible for providing timely feedback, content, and approvals as outlined in the project scope. Delays in providing required materials may extend the project timeline and may result in additional charges if significant rework is required.
5. Limitation of Liability
To the fullest extent permitted by law, Spectra Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to loss of revenue, loss of data, or business interruption. Our total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
6. Warranties & Disclaimers
We provide our services on an "as-is" basis and make no guarantees regarding specific results, including search engine rankings, traffic levels, or conversion rates. While we apply industry best practices and proven strategies, outcomes depend on many factors outside our control.
7. Termination
Either party may terminate an ongoing service agreement with 30 days' written notice. For project work, if a client cancels after work has begun, the deposit is non-refundable and any additional work completed will be billed at the agreed rate.
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Harris County, Texas.
9. Changes to These Terms
We reserve the right to update these terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
